Terms of Service

1. Acceptance of Terms

By accessing or using the Cruising Intelligence platform ("Platform"), available at cruisingintelligence.com, you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). The Platform is owned and operated by Synaptic Momentum LLC ("Company," "we," "us," or "our").

If you do not agree to these Terms, you must not access or use the Platform. By creating an account, you represent that you have the authority to enter into these Terms on behalf of yourself or the organization you represent.

2. Eligibility and IATA Requirement

The Platform is a business-to-business (B2B) software-as-a-service tool designed exclusively for travel professionals. Access to the Platform requires:

• You must be at least 18 years of age.
• You must be a travel professional affiliated with a recognized travel agency or accredited organization.
• You must provide a valid IATA (International Air Transport Association) number, either personal or agency-affiliated, during the registration process.

We reserve the right to verify your IATA number at any time. If your IATA number is found to be invalid, expired, or fraudulent, we may suspend or terminate your account without notice or refund. The IATA verification requirement exists to protect the professional travel advisor community by keeping the Platform's tools and data out of consumer hands.

3. Account Registration and Security

To use the Platform, you must create an account by providing accurate and complete information, including your name, email address, and IATA number. You are responsible for:

• Maintaining the confidentiality of your account credentials.
• All activities that occur under your account.
• Notifying us immediately of any unauthorized use of your account.

You may not share your account credentials with others, transfer your account, or allow multiple individuals to use a single account. Each user must maintain their own individual subscription.

4. Subscription Plans and Payment

4.1 Subscription Plans

The Platform offers the following subscription tiers:

• Standard Plan: Monthly or annual subscription providing access to all Platform features with a set number of AI Chat queries per month.
• Premium Plan: Monthly or annual subscription providing access to all Platform features with an increased number of AI Chat queries per month.
• AI Chat Metered: An optional add-on providing 300 AI Chat queries at a per-query rate.

Specific pricing, query limits, and plan details are displayed on the Platform at the time of purchase and may be updated from time to time.

4.2 Free Trial

New users may be offered a 14-day free trial. At the end of the trial period, your subscription will automatically convert to a paid subscription unless you cancel before the trial expires. You will be charged the applicable subscription fee upon conversion.

4.3 Billing and Renewal

Subscriptions are billed in advance on a monthly or annual basis through Stripe, our third-party payment processor. Subscriptions automatically renew at the end of each billing period unless you cancel prior to the renewal date.

4.4 Cancellation and Refunds

You may cancel your subscription at any time through your account settings or the Stripe customer portal. Upon cancellation:

• You will retain access to the Platform until the end of your current billing period.
• No refunds will be issued for partial billing periods.
• Annual subscriptions are non-refundable after the first 30 days.

4.5 Price Changes

We reserve the right to change our pricing at any time. For existing subscribers, price changes will take effect at the beginning of the next billing cycle following at least 30 days' notice. Continued use of the Platform after a price change constitutes acceptance of the new pricing.

5. Data Accuracy and Pricing Disclaimer

The Platform aggregates data from multiple sources including, but not limited to, publicly available cruise line information, third-party data providers, and proprietary research. While we strive to maintain accurate and current data, we do not guarantee the accuracy, completeness, timeliness, or reliability of any information presented on the Platform, including but not limited to:

• Cruise fares and pricing (displayed prices are referential only)
• Ship specifications, amenities, dining venues, and onboard facilities
• Itinerary schedules, port calls, and sailing dates
• Port weather conditions, sea conditions, air quality data, and environmental information
• Port congestion estimates and passenger density projections
• Ship ratings, scores, and rankings
• Packing recommendations and travel advice
• Inclusion details and what is covered in cruise fares

Users should independently verify all information, particularly pricing and availability, directly with the relevant cruise line or through their established booking channels before making any commitments to clients or consumers.

6. AI Chat Assistant

The Platform includes an AI-powered chat assistant that provides cruise recommendations, comparisons, and information based on the Platform's database. The AI Chat feature is subject to the following terms:

• AI Chat responses are generated by artificial intelligence and may contain inaccuracies, outdated information, or errors.
• AI Chat responses do not constitute professional travel advice, financial advice, medical advice, or any other form of professional guidance.
• You should independently verify all information provided by the AI Chat before relying on it or sharing it with clients.
• AI Chat usage is subject to rate limits based on your subscription tier.
• We may monitor AI Chat usage patterns for quality improvement, cost management, and abuse prevention.
• AI Chat queries and responses may be logged for debugging and service improvement purposes.

7. Acceptable Use

You agree to use the Platform only for its intended purpose as a professional cruise research and sales support tool. You may not:

• Use the Platform for any unlawful purpose or in violation of any applicable laws or regulations.
• Share, redistribute, resell, or sublicense access to the Platform or its data to any third party.
• Use automated tools, bots, scrapers, or other automated means to access, extract, or download data from the Platform.
• Attempt to reverse engineer, decompile, or disassemble any portion of the Platform.
• Interfere with or disrupt the Platform's infrastructure, security, or other users' access.
• Share your account credentials with others or allow multiple individuals to use a single account.
• Use the Platform's data to create a competing product or service.
• Provide Platform access to consumers or non-travel-professionals.
• Remove, alter, or obscure any proprietary notices or branding from Platform-generated content.

8. Intellectual Property

All content, data, software, designs, text, graphics, ratings, algorithms, and other materials on the Platform are the intellectual property of Synaptic Momentum LLC or its licensors and are protected by applicable copyright, trademark, and other intellectual property laws.

Your subscription grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your professional activities as a travel advisor. This license does not include the right to:

• Copy, modify, or create derivative works of the Platform or its content.
• Use our proprietary rating systems, scoring algorithms, or data compilations outside the Platform.
• Reproduce substantial portions of the Platform's database.

You may share Platform-generated itinerary documents, packing guides, and comparison reports with your clients in the ordinary course of your business as a travel advisor, provided that such materials retain the Cruising Intelligence branding and attribution.

9. No Booking or Transaction Services

The Platform is a research, comparison, and decision-support tool. The Platform does not facilitate, process, or intermediate cruise bookings, hotel reservations, flight bookings, or any other travel transactions. The Platform does not:

• Accept payments for cruise bookings or travel services.
• Act as a travel agency, tour operator, or booking intermediary.
• Have any contractual relationship with cruise lines regarding bookings.
• Earn commissions on bookings made by users or their clients.

All bookings should be made through your established booking channels (GDS, cruise line portals, or other authorized systems). We do not have access to your booking data or client information.

10. Privacy

Your use of the Platform is also governed by our Privacy Policy. By using the Platform, you acknowledge that you have read and understood the Privacy Policy. The Privacy Policy is incorporated into these Terms by reference.

11. Disclaimer of Warranties

WE DO NOT WARRANT THAT:

• The Platform will be uninterrupted, error-free, or secure.
• Any data, ratings, recommendations, or other content will be accurate, complete, or current.
• The Platform will meet your specific requirements or expectations.
• Defects in the Platform will be corrected in a timely manner.

Weather data, sea condition data, air quality data, and port congestion estimates are based on historical averages and projections. Actual conditions may vary significantly. These data points should not be relied upon for safety-critical decisions.

12. Limitation of Liability

YOU SPECIFICALLY ACKNOWLEDGE THAT WE ARE NOT LIABLE FOR ANY LOSSES ARISING FROM:

• Reliance on pricing information displayed on the Platform that differs from actual cruise line pricing.
• Decisions made based on AI Chat recommendations or any other data provided by the Platform.
• Inaccuracies in port condition data, weather information, or congestion estimates.
• Business losses resulting from Platform downtime or data errors.

13. Indemnification

You agree to indemnify, defend, and hold harmless Synaptic Momentum LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorney's fees) arising out of or related to:

• Your use or misuse of the Platform.
• Your violation of these Terms.
• Your violation of any applicable law or regulation.
• Any claim by a third party (including your clients) arising from information obtained through the Platform.
• Your provision of inaccurate IATA credentials or misrepresentation of your professional status.

14. Termination

We may suspend or terminate your account and access to the Platform at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to:

• Violation of these Terms.
• Provision of invalid or fraudulent IATA credentials.
• Non-payment of subscription fees.
• Abusive or excessive use of Platform resources.
• Use of the Platform for unauthorized purposes.

Upon termination, your right to use the Platform will immediately cease. Sections 5, 8, 11, 12, 13, and 16 shall survive termination.

15. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through a notice on the Platform at least 30 days before they take effect. Your continued use of the Platform after the effective date of any changes constitutes acceptance of the modified Terms. If you do not agree with any changes, you must discontinue use of the Platform and cancel your subscription.

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Platform shall be resolved through binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Fort Bend County, Texas. Each party shall bear its own costs and attorneys' fees.

You waive any right to participate in a class action lawsuit or class arbitration against us.

17. General Provisions

• Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and the Company regarding your use of the Platform.
• Severability. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
• Waiver. Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
• Assignment. You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
• Force Majeure. We shall not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control.
• Notices. Notices to you will be sent to the email address associated with your account. Notices to us should be sent to the contact information provided below.
